Terms of Service

Effective Date: January 11, 2025

1. Agreement to Terms

By accessing or using the services provided by MAHDI HABIB D ALKHALAF ("Service Provider," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Provided

We provide the following professional services:

• Custom Website & Web Application Development
• Technology Consultation
• Browser Automation Solutions
• Business Process Automation
• AI Consulting & Implementation
• 30-minute Expert Consultation Sessions

3. Consultation Services

3.1 Booking and Payment

• Consultation fee: SAR 200 per 30-minute session
• Payment must be completed via bank transfer within 24 hours of booking
• Slots are confirmed only upon receipt of payment
• Consultations are conducted via video call or phone

3.2 What's Included

Each consultation includes:

• 30 minutes of focused problem-solving
• Technology roadmap document (delivered within 48 hours)
• Budget estimates for implementation
• One week of follow-up email support
• Optional session recording (with client consent)

3.3 Cancellation and Rescheduling

• Cancellations must be made at least 24 hours before the scheduled time
• One free rescheduling is allowed per booking
• No-shows forfeit the consultation fee

4. Project Services

4.1 Engagement Process

• Initial consultation to understand requirements
• Written proposal with scope, timeline, and pricing
• Formal agreement required for projects exceeding SAR 5,000
• 30% deposit required to commence work

4.2 Project Delivery

• Deliverables as specified in the project agreement
• Regular progress updates
• Final delivery upon completion and payment
• 30-day bug fix warranty for development projects

5. Payment Terms

5.1 Accepted Payment Methods

• Bank transfer (Al Rajhi Bank)
• Cash (for local clients, with receipt)
• Payment plans available for projects exceeding SAR 10,000

5.2 Payment Schedule

• Consultations: Full payment in advance
• Small projects (< SAR 5,000): 50% deposit, 50% on completion
• Large projects (≥ SAR 5,000): 30% deposit, 40% midway, 30% on completion

5.3 Late Payments

• Late payment fee: 2% per month after 30 days
• Work suspension after 45 days of non-payment
• Legal action may be taken for amounts exceeding SAR 10,000

6. Intellectual Property

6.1 Client Materials

• You retain ownership of materials you provide
• You grant us license to use them for project purposes
• We maintain confidentiality of proprietary information

6.2 Deliverables

• Custom work becomes your property upon full payment
• We retain the right to display work in our portfolio (unless agreed otherwise)
• Open-source components remain under their respective licenses

6.3 Pre-existing IP

• We retain ownership of our methodologies, tools, and frameworks
• You receive a license to use them as part of the deliverables

7. Confidentiality

Both parties agree to:

• Keep confidential information private
• Use confidential information only for project purposes
• Not disclose to third parties without written consent
• Return or destroy confidential materials upon request

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

• Services will be performed professionally and competently
• Deliverables will substantially conform to specifications
• We have the right to provide the services

8.2 Disclaimers

• No guarantee of specific business results
• No warranty for third-party components beyond their original warranties
• Services provided "as is" after warranty period
• No liability for indirect or consequential damages

9. Limitation of Liability

Our maximum liability for any claim shall not exceed:

• For consultations: The consultation fee paid
• For projects: The total amount paid for the specific project
• In no case shall liability exceed SAR 50,000

10. Refund Policy

10.1 Consultation Refunds

• 100% refund if cancelled 24+ hours before session
• 100% satisfaction guarantee for first-time clients
• Refund requests must be made within 48 hours of consultation

10.2 Project Refunds

• Deposits are non-refundable after work commences
• Partial refunds based on work completed
• No refunds after final delivery and acceptance

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Violation of these Terms
• Infringement of third-party rights
• Illegal or unauthorized use of deliverables

12. Termination

12.1 Termination by Either Party

• Consultations: No termination required (one-time service)
• Projects: 15 days written notice
• Immediate termination for material breach

12.2 Effects of Termination

• Payment for work completed
• Return of confidential materials
• Delivery of work completed to date

13. Force Majeure

Neither party shall be liable for delays or failures due to:

• Natural disasters
• Government actions
• Internet or infrastructure failures
• Pandemics or health emergencies
• Other events beyond reasonable control

14. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through:

1. Good faith negotiation
2. Mediation (if negotiation fails)
3. Arbitration under Saudi Arabian Arbitration Law

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

• Upon posting for new clients
• 30 days after notice for existing clients
• Immediately for legal compliance requirements

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between you and us regarding the services.

18. Language

These Terms are provided in English and Arabic. In case of discrepancy, the English version shall prevail for interpretation.

20. Acceptance

By using our services, booking a consultation, or engaging us for a project, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms of Service are compliant with Saudi Arabian commercial law and the regulations of the Ministry of Human Resources and Social Development for freelance practitioners.
